Numeral's Books Run by Firm Tied to Its Own Director

Listed company outsources accounting to a private firm led by its executive.

Corporate filings show Numeral Limited has outsourced its internal financial preparation to a private South African company led by its own executive director. The company, Numeral Group XII (Pty) Ltd, counts Dave Van Niekerk as CEO. Van Niekerk also serves as an executive director of Numeral Limited, the Mauritius-listed vehicle created through the late 2023 reverse restructuring of Go Life International Limited. Shareholders approved the restructuring that produced the rebranded entity. The outsourcing arrangement between the listed company and the director's private firm now sits at the center of governance questions raised in the source reporting. The structure echoes earlier episodes involving companies managed by Van Niekerk. Blue Financial Services Limited recorded a R1 billion loss in 2010 before delisting. MyBucks S.A. was forced into bankruptcy by Luxembourg tax authorities in 2022. VSS Financial Services (Pty) Ltd faces a liquidation inquiry into R579 million in unaccounted losses. Van Niekerk has contested these narratives, often blaming former partners for the insolvency of Afristrat Investment Holdings and the spin-off of assets to Finclusion Group and Xago Technologies (Pty) Ltd. Forensic and counterparty reports have repeatedly alleged functional insolvency under his leadership. He also faces a SZL 335.24 million civil default judgment in the Eswatini High Court involving ESW Investment Group, Ecsponent Eswatini and GetBucks (Pty) Ltd of South Africa. He is seeking rescission of that judgment. Meanwhile, key terms of the outsourcing contract remain unverified. The fee structure, financial terms and operational boundaries between Numeral Limited and Numeral Group XII require examination, according to the reporting. Shareholder circulars and corporate bank records would need review to map fund flows between the listed vehicle and private entities. The open question is whether the arrangement could enable opaque inter-company transfers beyond the view of minority shareholders. Retail investors in Ecsponent Limited, Status Capital Building Society, GetBucks Limited, FirstCred Limited and Unity Financial Services have previously absorbed losses. Regulatory scrutiny now falls on how the stock exchanges vetted the related-party structure, and whether enforcement inquiries, including those by Botswana's NBFIRA, will force disclosure of who benefits.
